01服务条款

1. 条款接受

用户注册、获取 API 密钥、调用接口或继续使用本服务，即表示用户已阅读并同意本文件及《隐私政策》。代表组织使用本服务的用户声明，其有权使该组织受本条款约束。

2. 用户资格

用户应当年满 18 周岁，具有完全民事行为能力，并位于本平台及相应上游服务商共同支持的国家或地区。本平台不向被适用制裁、出口管制或上游服务商地区政策禁止的个人、组织或地区提供服务。

3. 服务性质

本平台提供请求路由、协议适配、格式转换、负载管理、用量统计、余额结算及相关技术支持。本平台不自行开发或控制 OpenAI、Claude、Grok 等上游模型，不能控制上游模型的内容、性能、价格、可用性或政策变化。

「仅提供技术服务」的说明不排除法律规定的平台责任，也不影响用户依法享有的强制性权利。

4. 上游服务

用户使用特定模型时，还必须遵守对应上游服务商当时有效的商业条款、使用政策、地区政策和服务特定条款。本平台仅在自身商业账户、客户应用集成方式及服务模式得到上游条款允许的范围内提供相关服务。需要上游明确批准的转售业务，仅在取得相应批准后提供。

上游服务商可以变更模型、价格、限制、上下文长度或停止服务。本平台可以相应调整服务，但将依法处理用户尚未消费的付费余额。

5. 账户安全

用户应提供真实、准确、完整的信息，并妥善保管账户及 API 密钥。账户下发生的调用原则上视为账户持有人的行为。发现密钥泄露、账户被盗或异常调用时，用户应立即轮换密钥并联系本平台。

6. 费用与退款

费用按照购买页面显示的价格、计费单位及平台计量结果计算。模型价格、汇率、税费或上游成本发生变化时，本平台可以调整后续价格。预付余额不是银行存款、电子货币或投资产品，不产生利息，除法律另有规定外不得在用户之间转让。

因平台重复扣费、明显计费错误或平台无法继续提供已购买服务产生的未消费余额，用户可以申请核查或退款。消费者依法享有的退款及其他权利不受本条款限制。

7. 输入、输出与知识产权

用户保留其依法拥有的输入内容权利。输出内容的权利归属同时受适用法律及对应上游条款约束。用户保证其有权提交输入内容，并对输出的使用承担责任。本平台不保证输出具有唯一性、准确性、可注册性或不侵犯第三方权利。

8. 数据与隐私

用户提交的提示词、代码、文件及必要技术数据可能被传输给位于境外的上游服务商处理。具体接收方、处理目的、数据种类、保存期限及用户权利，见下方《隐私与数据》。需要单独同意、个人信息保护影响评估、标准合同、认证或安全评估的，本平台将在完成相应程序后处理相关数据。

用户不得提交其无权向境外提供的个人信息、重要数据、国家秘密或其他受限制数据。

9. 服务可用性

本服务按「现状」和「可用」状态提供。计划维护、网络故障、攻击、上游限流、上游封禁、监管要求及不可抗力均可能导致服务中断。本平台不承诺永久提供任何特定模型，也不承诺服务完全无错误或不中断。

10. 暂停与终止

用户违反本条款、上游政策、地区限制或适用法律，或者其使用行为可能导致平台、上游服务商或第三方遭受损害时，本平台可以暂停或终止服务。除法律要求保存或安全调查所必需外，账户终止后，本平台将按照《隐私政策》删除或匿名化相关数据。

11. 责任限制

在适用法律允许的最大范围内，本平台不对间接损失、利润损失、业务中断、数据丢失或用户未核验人工智能输出造成的损失承担责任。本平台在单一事件中的累计责任原则上不超过用户在责任事件发生前连续三个月内就受影响服务实际支付的费用。

上述限制不适用于故意或重大过失、人身损害、侵犯个人信息权益，以及法律明确规定不得限制或免除责任的情形。

12. 用户赔偿责任

因用户违法使用服务、侵犯第三方权利、违反上游政策或违反本条款，导致本平台遭受经依法确认的损失，用户应在其过错和责任范围内承担相应赔偿责任。

13. 条款修改

本平台可以因法律、监管、上游政策或业务变化更新本条款。重大不利变更将在生效前通过网站公告、控制台或电子邮件通知。用户不同意修改的，可以停止使用并依法申请处理未消费余额。

14. 法律适用与争议解决

本条款适用 [运营主体注册地] 法律，但不得排除用户惯常居住地依法适用的强制性消费者保护规定。争议发生后，双方应先通过 [联系邮箱] 协商。协商不成的，任何一方可以向依法具有管辖权的法院提起诉讼。

02可接受使用政策

1. 适用范围

本政策适用于用户对本站提供的人工智能接口路由、请求转发、格式转换、用量统计、余额结算及相关技术服务的使用。

本平台不是 OpenAI、Anthropic 或 xAI 的官方网站，与上述主体不存在隶属、代理、赞助或其他关联关系，除非另有明确书面说明。相关名称、模型名称及商标归其各自权利人所有。

2. 合法使用要求

用户只能将本服务用于合法、正当且符合适用法律、上游服务商政策和本政策的用途，并确保其输入内容、调用方式、输出使用方式及最终产品均符合法律要求。用户不得利用本服务：

• 实施、协助、策划或推广任何违法犯罪活动；
• 生成、传播恐怖主义、极端主义、暴力、淫秽色情、儿童性剥削或其他非法内容；
• 从事诈骗、钓鱼、洗钱、非法集资、赌博、冒充他人、虚假交易或规避监管；
• 开发、传播恶意软件，窃取凭据，未经授权侵入、破坏或控制计算机系统；
• 侵犯他人的著作权、商标权、商业秘密、肖像权、名誉权、隐私权或个人信息权益；
• 未经授权提交国家秘密、工作秘密、商业秘密、源代码、医疗信息、金融账户信息或其他敏感数据；
• 在医疗、法律、金融、就业、教育、信贷、保险等高风险场景中，未经合格人员复核即完全依赖模型输出作出重大决定；
• 制作具有欺骗性的深度合成内容、虚假身份材料或误导公众来源的内容；
• 绕过内容过滤、速率限制、安全措施、地区限制、出口管制或制裁措施；
• 通过 VPN、代理、虚假地址、虚假身份或他人账户伪装所在地；
• 买卖、出租、共享或转让平台账户、API 密钥、访问凭据或服务额度；
• 未经许可转售本服务，或者使用输出训练与上游模型竞争的模型；
• 对本平台或上游服务实施逆向工程、模型提取、自动化滥用、压力攻击或资源耗尽攻击；
• 从事上游服务商使用政策禁止的其他行为。

经合法授权的网络安全测试、漏洞研究或防御性分析，应限制在授权范围内，并采取措施避免损害第三方。

3. 用户内容责任

用户应当对其输入内容以及输出内容的保存、发布、传播和实际使用承担责任。人工智能输出可能不准确、不完整、过时、具有偏见或与其他用户的输出相似。用户在使用或公开输出前，应进行人工审查和事实核验。本平台不保证输出能够替代专业意见，也不保证输出不侵犯第三方权利。

4. 监测与处置

为防止欺诈、攻击和其他滥用，本平台可以在符合隐私政策及适用法律的前提下，对必要的账户信息、请求元数据和安全日志进行自动检测。发现涉嫌违规行为时，本平台可以采取警告、限制速率、阻断请求、暂停账户、终止服务、冻结争议额度或保存必要证据等措施。法律要求时，本平台可能向主管机关报告或提供相关信息。用户可以通过 [投诉举报邮箱] 提交投诉、举报或申诉。

03区域可用性政策

1. 支持原则

本平台只在同时满足以下条件的国家或地区提供服务：

• 本平台已明确开放该地区；
• 用户所选上游服务商正式支持该地区；
• 用户本人和所属组织符合上游的居住地、注册地及所有权要求；
• 当地法律允许提供和使用相关人工智能服务；
• 不违反出口管制、经济制裁或其他贸易限制。

如不同条件的范围不一致，以范围最窄者为准。

2. 当前不支持地区

截至 2026 年 7 月 22 日，本平台不向位于中国大陆的用户或组织提供服务，不接受通过代理、VPN、虚假地址或其他方式伪装所在地以规避该限制。OpenAI 与 Anthropic 的官方 API 支持地区名单均未包含中国大陆及相应行政区，因此本平台也不在这些地区提供对应服务。

台湾地区虽然出现在 OpenAI 和 Anthropic 当前支持名单中，但是否开放仍取决于用户所选全部上游服务商、用户类型、实体所有权及本平台届时政策。

中国国籍本身不当然导致个人被禁止使用。位于并通常居住在受支持地区的中国籍个人，仅在符合当地法律、上游政策及本平台审核要求时可以使用。

3. 地区验证

本平台可以通过 IP 地址、账单地址、付款工具、电话号码、身份或企业注册信息验证用户所在地及资格。用户位置发生变化后，应重新确认服务是否可用。上游服务商移除某地区时，本平台可以立即暂停对应服务。

4. 官方地区政策

• Anthropic API 支持地区：anthropic.com/supported-countries
• xAI/Grok：以 xAI 控制台、企业条款、出口管制政策及当时公布的地区限制为准。

04上游服务商条款

1. 通用条款

OpenAI、Claude、Claude Code、Anthropic、Grok 和 xAI 等名称仅用于说明兼容或所调用的上游服务，不表示相关权利人对本平台提供认可、授权、赞助或担保。用户不得将本平台描述为上述公司的官方网站、官方代理或官方经销商，除非存在可验证的书面授权。

2. OpenAI 服务

使用 OpenAI 模型的用户还须遵守 OpenAI《服务协议》《使用政策》《服务特定条款》及 API 支持地区政策。用户不得共享、买卖或转让 OpenAI API 密钥，不得转售 OpenAI 账户访问权限，不得规避速率限制或安全措施。本平台仅通过条款允许的客户应用集成方式提供服务，不向用户提供上游主账户登录凭据。

3. Claude 与 Claude Code 服务

使用 Claude 或 Claude Code 的用户还须遵守 Anthropic 商业条款、使用政策、支持地区政策及服务特定条款。Anthropic 商业条款规定，未经其明确批准不得转售 Anthropic 服务。本平台仅在获得所需许可或确认当前服务模式不构成受限制转售后提供相关服务。

Claude Code 可能在用户设备或开发环境中读取、创建、修改或删除文件并执行命令。用户应配置权限隔离、版本控制和备份，并在执行高风险操作前进行人工确认。本平台不对用户授权 Claude Code 执行的本地命令、代码变更、数据删除或部署操作承担超出法律规定范围的责任。

4. Grok/xAI 服务

使用 Grok 模型的用户还须遵守 xAI 当时有效的企业条款、可接受使用政策、隐私政策及地区限制。部分 Grok 功能可能引用互联网、X 平台或其他第三方来源。相关内容可能不准确、存在偏见或受第三方权利限制，用户应核验来源后再使用。未经允许，用户不得共享 xAI API 密钥、转售账户访问权限、规避安全措施或将服务用于违反出口管制和制裁规定的用途。

5. 上游变更

上游服务商可以随时修改条款、地区范围、模型名称、价格、功能或访问权限。发生变化时，本平台可以同步修改、暂停或停止对应服务，并按照适用法律处理未完成订单及未消费余额。

05隐私与数据

本站遵循「最小必要」原则，尽可能减少对你个人信息的收集与保留。

我们收集什么

• 账号信息：用于登录的用户名，以及经不可逆加密存储的密码摘要。
• 计费用量：调用的模型、Token 数量与调用时间 —— 完成计费所必需的最小集合。
• 令牌信息：你创建的 API 密钥（用于鉴权校验）。

我们不收集什么

• 不保存你发送的提示词与模型返回的正文内容。
• 不记录调用来源 IP 地址、浏览器指纹或设备标识。
• 不接入任何第三方统计、埋点、广告或分析脚本。
• 不向任何第三方出售、出租或分享你的个人信息。

数据如何流向上游

为完成一次调用，你的请求内容会被转发给对应的上游模型供应商处理 —— 这是所有AI服务接入的必要技术环节。因此请勿提交违法内容、他人隐私数据，或你有保密义务的信息。

数据保留与删除

本站已关闭逐请求消费日志与 IP 记录功能。除完成计费所必需的聚合用量统计外，不保留你的使用明细。如需删除账号及相关数据，可联系管理员处理。

06免责声明全文

1. Acceptance

By registering, topping up, obtaining an API key, calling the interfaces, or continuing to use the service, you confirm that you have read and agree to this document and the Privacy Policy. A user acting for an organization represents that they are authorized to bind that organization.

2. Eligibility

You must be at least 18 years old, have full legal capacity, and be located in a country or region supported both by this platform and by the relevant upstream providers. The platform does not serve individuals, organizations, or regions prohibited by applicable sanctions, export controls, or upstream regional policies.

3. Nature of the Service

The platform provides request routing, protocol adaptation, format conversion, load management, usage metering, balance settlement, and related technical support. It does not develop or control upstream models such as OpenAI, Claude, or Grok and cannot control their content, performance, pricing, availability, or policy changes. A statement that the platform only provides technical services does not exclude any liability imposed by law, nor affect any mandatory rights you hold under applicable law.

4. Upstream Services

When using a specific model, you must also comply with the applicable upstream provider's then-effective commercial terms, usage policies, regional policies, and service-specific terms. The platform provides relevant services only to the extent permitted for its own commercial accounts, customer application integrations, and service model. Resale that requires an upstream's explicit approval is provided only after obtaining such approval. Upstream providers may change models, pricing, limits, context length, or discontinue services; the platform may adjust accordingly but will handle any unconsumed paid balance in accordance with the law.

5. Account Security

You must provide true, accurate, and complete information and safeguard your account and API keys. Calls made under an account are in principle treated as the acts of the account holder. If a key is leaked, an account is compromised, or abnormal calls occur, you must rotate keys immediately and contact the platform.

6. Fees and Refunds

Fees are calculated according to the price, billing unit, and platform metering shown on the purchase page. The platform may adjust future prices when model prices, exchange rates, taxes, or upstream costs change. Prepaid balances are not bank deposits, electronic money, or investment products, bear no interest, and may not be transferred between users except as otherwise required by law. You may request a review or refund for unconsumed balance arising from duplicate charges, manifest billing errors, or the platform's inability to continue providing a purchased service. Your statutory consumer refund and other rights are not limited by these terms.

7. Input, Output and Intellectual Property

You retain your lawfully owned rights in input content. Rights in output are governed by applicable law and the corresponding upstream terms. You warrant that you have the right to submit your input and are responsible for your use of the output. The platform does not warrant that output is unique, accurate, registrable, or non-infringing.

8. Data and Privacy

Your prompts, code, files, and necessary technical data may be transmitted to upstream providers located outside your jurisdiction for processing. Details on recipients, purposes, categories of data, retention periods, and your rights are set out in the Privacy section above. Where separate consent, personal information protection impact assessments, standard contracts, certification, or security assessments are required, the platform will process the relevant data after completing such procedures. You must not submit personal information, important data, state secrets, or other restricted data that you are not entitled to provide abroad.

9. Availability

The service is provided on an "as-is" and "as-available" basis. Planned maintenance, network failures, attacks, upstream throttling, upstream bans, regulatory requirements, and force majeure may cause interruptions. The platform does not promise to provide any specific model permanently, nor that the service will be entirely error-free or uninterrupted.

10. Suspension and Termination

The platform may suspend or terminate the service if you violate these terms, upstream policies, regional restrictions, or applicable law, or if your use may cause harm to the platform, upstream providers, or third parties. Except where retention is required by law or necessary for security investigations, the platform will delete or anonymize relevant data after account termination in accordance with the Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the platform is not liable for indirect losses, lost profits, business interruption, data loss, or losses arising from a user's failure to verify AI output. The platform's aggregate liability for a single event shall in principle not exceed the amounts you actually paid for the affected service within the three consecutive months preceding the event. These limitations do not apply to willful misconduct or gross negligence, personal injury, infringement of personal information rights, or circumstances where liability may not lawfully be limited or excluded.

12. User Indemnity

If your unlawful use of the service, infringement of third-party rights, violation of upstream policies, or breach of these terms causes losses to the platform that are confirmed in accordance with law, you shall bear corresponding liability within the scope of your fault and responsibility.

13. Changes to Terms

The platform may update these terms due to legal, regulatory, upstream policy, or business changes. Material adverse changes will be notified before they take effect via website announcement, console, or email. If you do not agree with the changes, you may stop using the service and apply to handle any unconsumed balance in accordance with law.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of [Jurisdiction of the Operating Entity], without excluding mandatory consumer protection provisions applicable in your habitual residence. Disputes shall first be resolved through negotiation via [Contact Email]. If negotiation fails, either party may bring an action before a court of competent jurisdiction.

Disclaimer

The service is a privately operated shared service, not a commercial entity, and provides no service-level agreement (SLA) or availability commitment. Use it only after fully understanding the following:

• Interruption. The site may be interrupted due to upstream failures, routine maintenance, policy changes, or force majeure, without prior notice. Do not use it for critical business that cannot tolerate interruption.
• Output. Model output does not constitute professional advice (including but not limited to legal, medical, financial, or investment advice). You must exercise your own judgment and bear the consequences of use.
• User responsibility. Any direct or indirect consequences arising from your own operations, leaked tokens, violation of these policies, or breach of upstream terms are borne by you.
• Data boundary. Because request content is processed by upstream providers and may be transmitted abroad, do not submit any sensitive, confidential, or specially protected data. You assess and bear the related risks.
• Upstream and compliance changes. Upstream providers may change terms, regions, model names, pricing, features, or access at any time. The platform may modify, suspend, or discontinue the corresponding service accordingly.
• Scope of liability. To the maximum extent permitted by law, the platform is not liable for indirect losses, lost profits, business interruption, data loss, or losses from unverified AI output. Scope limitations and the change right are governed by the Terms of Service above.
